Terms of Service

1. Definitions

• "MyYarns" — the platform and services operated by Sendbaba Technologies Limited
• "We / Us / Our" — Sendbaba Technologies Limited
• "You / User" — any individual or business using MyYarns
• "Account" — your registered MyYarns account
• "Organisation" — the business entity associated with your account
• "Platform" — the MyYarns web application and API
• "Connected Channels" — social media accounts linked to MyYarns

2. Eligibility

To use MyYarns you must:

• Be at least 18 years of age
• Have the legal authority to enter into binding agreements
• Not be prohibited from using our services under Nigerian law or any applicable law
• Provide accurate and complete registration information

If you register on behalf of a business, you represent that you have authority to bind that business to these terms.

3. Account Registration

• You must provide a valid email address and keep it updated
• You are responsible for maintaining the security of your account credentials
• You must notify us immediately of any unauthorised access at support@myyarns.com
• One person may not maintain multiple free accounts
• Account sharing between unrelated organisations is not permitted

4. Subscription Plans & Billing

4.2 Payment

• All prices are in Nigerian Naira (NGN)
• Payments processed by Korapay — Nigeria's licensed payment infrastructure
• Subscriptions auto-renew unless cancelled before the renewal date
• Annual plans are billed upfront for the full year

4.3 Refunds

• Monthly plans: No refunds for partial months
• Annual plans: Pro-rata refund available within 30 days of payment if requested
• Free trial cancellations: No charges apply
• Disputed charges must be raised within 60 days of the transaction

4.4 Overdue Payments

If payment fails, we will retry for 7 days then downgrade your account to the free tier. Your data is retained for 90 days after downgrade before permanent deletion.

5. Acceptable Use

You agree NOT to use MyYarns to:

• Send spam, unsolicited messages, or bulk promotional content without consent
• Harass, abuse, threaten or harm any person
• Violate any applicable law including Nigerian law, NDPR, or platform terms of service
• Distribute malware, viruses, or malicious code
• Impersonate any person or organisation
• Scrape or harvest data from other platforms in violation of their terms
• Use the platform for illegal financial activities, fraud, or money laundering
• Attempt to reverse engineer, hack, or disrupt the platform
• Resell access to the platform without written permission

6. Social Media Platform Compliance

When using MyYarns to connect social media accounts, you are also bound by the terms of those platforms:

• Meta (Facebook/Instagram/WhatsApp) — Meta Platform Terms and Developer Policies
• LinkedIn — LinkedIn User Agreement and API Terms
• Twitter/X — X Developer Agreement and Policy
• Telegram — Telegram Terms of Service and Bot API Terms

You are solely responsible for ensuring your use of connected platforms complies with their respective terms. MyYarns is not responsible for any actions taken by third-party platforms against your accounts.

7. Data & Privacy

• You retain ownership of all data you bring to MyYarns
• You grant us a limited licence to process your data solely to provide the service
• We do not sell your data or your customers' data to third parties

• You are the data controller for your customers' data — we are the processor
• You are responsible for obtaining appropriate consent from your customers

8. Intellectual Property

• MyYarns, its logo, and platform design are owned by Sendbaba Technologies Limited
• You may not use our brand assets without written permission
• You retain all rights to content you create and data you input
• Any feedback or suggestions you provide may be used by us to improve the platform without obligation

9. Service Availability

• We target 99.5% uptime but do not guarantee uninterrupted service
• Scheduled maintenance will be announced 24 hours in advance where possible
• We are not liable for downtime caused by third-party platforms (Meta, Twitter, etc.)
• Service credits may be issued for extended outages at our discretion

10. Limitation of Liability

To the maximum extent permitted by Nigerian law:

• MyYarns is provided "as is" without warranties of any kind
• We are not liable for indirect, incidental, or consequential damages
• Our total liability to you shall not exceed the amount you paid us in the 3 months preceding the claim
• We are not liable for actions of third-party social media platforms
• We are not liable for data loss resulting from your own actions or third-party breaches

11. Termination

11.1 By You

You may cancel your account at any time from your dashboard under Settings → Billing. Cancellation takes effect at the end of your current billing period.

11.2 By Us

We may suspend or terminate your account with notice if you:

• Violate these Terms of Service
• Fail to pay for 14 days after payment failure
• Engage in fraudulent or illegal activity

We may terminate the entire service with 30 days notice to all users.

12. Governing Law & Disputes

• These Terms are governed by the laws of the Federal Republic of Nigeria
• Any disputes shall be resolved first through good faith negotiation
• If unresolved, disputes shall be submitted to arbitration under Nigerian law
• Courts of Lagos State shall have exclusive jurisdiction for any legal proceedings

13. Changes to Terms

We may update these Terms at any time. We will notify you by email at least 14 days before material changes take effect. Continued use after the effective date constitutes acceptance of the new terms.
